Contract drafting
A good contract prevents a dispute before it starts. Many cases that reach the courts are caused by a contract written in a hurry, copied from a template that does not fit the deal, or missing an essential clause. We draft and review contracts for individuals and companies in clear language that reflects what the parties actually agreed.
Contracts we work on
- Sale and supply contracts.
- Service and consultancy agreements.
- Construction contracts.
- Residential and commercial leases.
- Partnership and shareholder agreements.
- Agency and distribution agreements.
- Confidentiality and non-disclosure agreements.
- Employment contracts.
What we check in a contract
- Who the parties are, in what capacity, and the authority of whoever signs for them.
- An accurate description of the subject matter, quantities and specifications.
- The price, payment method and schedule.
- The term, renewal and termination.
- Penalty clauses and compensation for delay or breach.
- Governing law and how disputes are resolved.
After signature
The value of a good contract shows during performance, not at signature. We explain to clients the dates and notices they must observe during the contract’s term, such as renewal dates, termination notices and penalty claims, and help them draft formal notices to the other party when a breach occurs, because the form and timing of a notice can affect their rights later.
Review before you sign
If the other party presents you with a contract, it is best to review it before signing, not after. We point out the clauses that place unexpected obligations or risks on you and suggest alternative wording you can negotiate. If the contract is bilingual, we check that the Arabic and English texts match, because a difference between them can itself become a dispute.
Ready-made templates
Ready-made templates can be a starting point, but they are often written for other countries’ laws, or miss the details of the actual deal, such as delivery dates, acceptance criteria and limits of liability. Reviewing a template and adapting it to Omani law and the circumstances of the deal costs far less than a dispute caused by an unsuitable clause.
What we need from you
- The draft contract, if there is one.
- A summary of what the parties agreed.
- The commercial registrations of the parties when contracting with companies.
- Any quotations or previous correspondence between the parties.
